Terms of Service

1. Agreement

These terms govern your use of the WhatSyncs website and platform. By creating a workspace or using the service you agree to them. [Insert legal entity name, registered address and governing law before launch.]

2. The service

WhatSyncs connects authorized business WhatsApp accounts to your CRM and applications, synchronizing conversations, media and connection state, and delivering events through a REST API and webhooks. WhatSyncs is an independent platform and is not WhatsApp, not an official WhatsApp product, and not affiliated with or endorsed by WhatsApp.

3. Your responsibilities

• You may only connect WhatsApp accounts that you own or are authorized to connect.
• You are responsible for how you use the messages you receive and send, including consent, marketing rules and data protection obligations that apply where you and your customers are located.
• You are responsible for keeping API keys and webhook signing secrets confidential.
• You must comply with the terms of any third-party service you connect, including WhatsApp's own terms.

4. Acceptable use

You may not use WhatSyncs to:

• Send unsolicited bulk messages or content that is unlawful, deceptive or harassing.
• Access accounts or data you are not authorized to access.
• Attempt to disrupt, overload or reverse engineer the platform.
• Resell the service in a way that circumvents per-connection pricing.

5. Plans and billing

The Free plan includes up to 3 WhatsApp connections and 1,000 active chats per month and requires no payment method. Professional is billed at $10 per connected WhatsApp number per month with unlimited active chats.

An active chat is a conversation with a single contact that had at least one synchronized message during the billing month. Subscriptions renew monthly until cancelled and can be cancelled at any time, effective at the end of the current period. 6. Your data

You retain all rights in the conversation data synchronized through your connections. We process it to provide the service, as described in the privacy policy. You can retrieve your conversations and media through the API while your workspace is active.

7. Availability

We work to keep the platform available and monitored, but the service is provided without a contractual uptime commitment unless a separate written agreement says otherwise. WhatsApp session availability also depends on factors outside our control, including the state of the device and account you link. [Insert an SLA here if you offer one.]

8. Third-party services

Connecting WhatSyncs to a CRM or other system is governed by that provider's terms as well as these. We are not responsible for changes third parties make to their APIs.

9. Suspension and termination

We may suspend or terminate a workspace that breaches these terms, is being used unlawfully, or is materially overdue on payment. You may close your workspace at any time. Export any data you need before doing so.

10. Disclaimers and liability

Except as expressly stated, the service is provided “as is”. To the maximum extent permitted by law, WhatSyncs is not liable for indirect or consequential loss, or for loss of profits, revenue or data. 11. Changes

We may update these terms and will revise the date above. Material changes will be communicated to customers before they take effect.
